Terms of Service

Effective May 1, 2026

These Terms of Service (“Terms”) govern your use of the OnFile software and services (the “Service”), operated by Lozort Federal LLC, a Texas limited liability company based in Houston, Texas (“OnFile”, “we”, “our”). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

The Service

OnFile is a vendor compliance management platform that helps customers collect, track, and renew vendor compliance documents. We provide the Service on a subscription basis.

Accounts

  • You are responsible for keeping your account credentials secure.
  • You are responsible for activity that happens under your account.
  • You must provide accurate registration information and keep it current.
  • You must be 18 years or older to use the Service.

Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Upload content that is illegal, infringing, or contains malware.
  • Attempt to access another customer’s data, reverse engineer the Service, or interfere with its operation.
  • Use the Service to send unsolicited marketing or spam.
  • Resell or sublicense the Service without our written consent.

Customer data

You retain ownership of all data you upload (“Customer Data”), including vendor records and compliance documents. You grant OnFile a limited license to host, process, and transmit Customer Data solely to provide the Service. Our Privacy Policy describes how we handle Customer Data in more detail.

Subscriptions and billing

  • Subscription fees are billed in advance through Stripe and are non-refundable except where required by law.
  • Trial accounts convert to a paid plan only when you provide payment details and confirm a plan.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period.
  • We may change pricing with at least 30 days’ notice. New prices apply at the start of your next renewal.

AI-assisted extraction

The Service may use third-party AI models to extract structured fields (expiration dates, policy limits, etc.) from documents you upload. These extracted fields are suggestions; you are responsible for verifying their accuracy before relying on them for compliance decisions. OnFile’s deterministic compliance engine uses verified data, not AI predictions.

Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted service. We may schedule maintenance windows or release updates that briefly affect availability.

Termination

  • You may terminate your account at any time from the settings page.
  • We may suspend or terminate accounts that breach these Terms, miss payments, or pose a security risk — with notice where reasonable.
  • On termination, you may export your data for 30 days, after which we may delete it.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ONFILE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. ONFILE IS NOT A LAW FIRM OR INSURANCE BROKER — the Service is a tool to help you manage compliance, not a substitute for legal or insurance advice.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONFILE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. ONFILE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

Indemnification

You will defend and indemnify OnFile against third-party claims arising from your Customer Data or your breach of these Terms.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify you in advance. Continued use of the Service after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Disputes will be resolved exclusively in the state or federal courts located in Harris County, Texas.
